Referral Program Terms

These Referral Program Terms ("Referral Terms") are a binding agreement between you and Kervan LLC, a Wyoming limited liability company, 30 N Gould St Ste N, Sheridan, WY 82801, USA ("we", "us", "our"), which operates Degenly (degenly.app). They add to the Degenly Terms of Use (/terms), the Risk Disclosure (/risk) and the Privacy Policy (/privacy). If these Referral Terms and the Terms of Use conflict on the Referral Program, these Referral Terms control. Words defined in the Terms of Use have the same meaning here.

You join the Referral Program only by accepting these Referral Terms in Degenly. Joining is optional. You do not need to join to use Degenly.

1. Definitions

Referrer: a wallet that has joined the Referral Program and has a referral code.
Referral Link: degenly.app/r/ followed by your referral code, or by the custom link code you chose for it. Both lead to the same referral code. Your username is not part of your Referral Link.
Partner: a Referrer that has signed a separate written partner agreement with us. We decide who becomes a Partner. No one can become a Partner by applying in the interface.
Referred Wallet: a wallet that was linked to a Referrer's code under section 4.
Degenly Fee: the fee we charge on a swap under section 6 of the Terms of Use, as recorded by us at quote time.
Eligible Swap: a swap by a Referred Wallet that succeeded on-chain, on which we received the Degenly Fee, and that meets section 5.
Reward: the amount we pay a Referrer under section 3.
Restricted Region: a country or region listed as a Restricted Region in section 4 of the Terms of Use, as that list stands at the relevant time. The Referral Program is not offered anywhere Degenly itself is not offered. No other country is excluded at present; section 10 explains when we may stop offering the Referral Program in a country.
Referral Discount: the discount in section 3A.
Week: Monday 00:00 UTC to Sunday 23:59:59 UTC.

2. Where the Referral Program is offered, and your local law

The Referral Program is offered wherever Degenly is offered, and not in Restricted Regions.

This does not mean that taking part is lawful where you are. The rules on promoting crypto-asset services, and on being paid to do so, differ by country. In some countries a person who shares a referral link for a crypto-asset service must hold an authorisation, have the content approved, add specific risk warnings or labels, or must not do it at all, and breaking those rules can be a criminal offence. We do not check these rules for you, and we do not represent that the Referral Program is lawful or appropriate in any particular country.

You are responsible for making sure that taking part and sharing your link is lawful where you are, including any rules on promoting cryptoassets. If it is not lawful for you, you must not join, and if you have joined you must stop sharing your link and leave the Referral Program.

3. Rewards

Standard rate: a Referrer earns 20% of the Degenly Fee on each Eligible Swap by its Referred Wallets.
Partner rate: a Partner earns 35% of the Degenly Fee on each Eligible Swap by its Referred Wallets.
One level only. You earn only on swaps by wallets you referred directly. You earn nothing on swaps by wallets that your Referred Wallets referred.
The Reward is calculated on the fee we actually received. For a Referred Wallet that is the discounted Degenly Fee in section 3A.
The Reward never increases the referred person's costs. We pay Rewards from our own revenue.
Rate in force at swap time. The rate that applies is your status at the time of the swap. A change of status does not apply to past swaps.
No Reward on other costs. Network fees, priority fees, price impact and any fee charged by a token, pool, protocol or routing provider are not part of the Degenly Fee, and earn nothing.
Rewards are not a share of Degenly. A Reward is a commission for introducing users. It gives you no ownership, profit share, token, vote or other right in Degenly or in Kervan LLC, and it is not an investment.
Examples are not promises. Any amount we show for the Referral Program, including "up to" amounts and calculator examples, is arithmetic from an assumed monthly trading volume of your Referred Wallets on Solana. It is not a forecast and not a typical result. Most Referrers earn much less, and many earn nothing. What you earn depends only on Eligible Swaps that actually take place.

3A. Discount for referred wallets

10% off the Degenly Fee, for as long as the wallet is linked. A Referred Wallet pays a Degenly Fee that is 10% lower than the fee it would otherwise pay: 0.90% instead of 1.00% (standard), and 0.67% instead of 0.75% (high-volume; rounded down in the user's favour). The high-volume tier is decided as in section 6 of the Terms of Use.
Solana only, at present. The Referral Discount applies only to swaps on Solana. Swaps on Ethereum, Base and BNB Chain pay the standard or high-volume Degenly Fee in section 6 of the Terms of Use.
Same discount whoever invited you. The discount is the same for wallets referred by a Referrer or by a Partner.
Not in Restricted Regions. Degenly is not offered in Restricted Regions. If a swap request nevertheless comes from a Restricted Region, as reported by our hosting provider, the discount does not apply to it. The fee that applies is always shown before you sign the swap.
How long it lasts. The discount continues even if the Referrer leaves the Referral Program or is removed from it. It ends only if (a) the Referred Wallet itself took part in abuse under section 9, or (b) we end the Referral Program under section 10, in which case we will show this in Degenly at least 14 days before the discount stops.

3B. Invite contests

From time to time we may run an invite contest. The dates, the prize and the winning rule of each contest are published at degenly.app/rewards/how-the-winner-is-picked. A contest is not a lottery, and no payment or purchase is needed to enter. A contest is void where prohibited.

Who receives the prize. The winner is the Referrer whose Referred Wallets have the highest total Solana swap volume on Degenly during the contest, and who has at least three Referred Wallets that each made a swap during the contest. The exclusions in section 9 apply: swaps that break section 9 do not count. If two Referrers have the same volume, the one who reached it first ranks higher.

Minimum total volume. The prize is awarded only if total invited trading volume during the contest reaches $20,000; otherwise it rolls over to the next contest.

Payment of the prize. The prize is paid in SOL to the winner's Degenly wallet within 15 days after the contest ends. We may withhold the prize under section 9 if we have reasonable grounds to believe that the winner took part in abuse.

4. How a wallet becomes your Referred Wallet

A wallet can be linked only if it has not yet made any swap through Degenly. This is the only test; it does not matter whether the wallet has signed in before.
The link is made when that wallet signs in after opening your referral link, and confirms the sign-in screen with your code shown in the referral field without removing it.
A wallet can be linked only once. The link is permanent. We do not move Referred Wallets between Referrers.
Solana wallets that were signed in together in one sign-in session (see the Privacy Policy, section 2k) count as one person. None of them can be linked to the referral code of another of them, and once one of them is linked to a Referrer, none of the others can be linked to any Referrer.
You cannot refer a wallet that you own or control, or that is owned or controlled by someone acting with you (see section 9).
When someone opens your link, their browser keeps your code for 7 days (not in a cookie). If they sign in within those 7 days, even after closing Degenly and opening it again without the link, your code is shown in the referral field. If they open a different referral link, that code replaces yours. If they remove the code, or sign in after 7 days without your link, the wallet is not linked to you.
No link from a Restricted Region. If the sign-in comes from a Restricted Region, as reported by our hosting provider, the wallet is not linked.

5. When a swap earns a Reward

A swap earns a Reward only if all of the following are true:

it was prepared through Degenly, succeeded on-chain, and we received the Degenly Fee;
it was made on Solana (swaps on Ethereum, Base and BNB Chain do not earn Rewards at present);
the request for the swap did not come from a Restricted Region, as reported by our hosting provider from the network location;
you, the Referrer, met section 7 when the swap took place; and
the swap does not break section 9.

6. Payment

Weekly. We calculate Rewards for each Week and pay them during the following Week.
In SOL, to your wallet. Rewards are paid in SOL on the Solana network to the wallet that holds the referral code. We convert the U.S. dollar amount to SOL at the market rate we use at the time of payment; the SOL amount you receive can be worth more or less later. We cover the network fee of the payment.
Minimum 0.1 SOL. If your unpaid Rewards are less than 0.1 SOL, they carry over to the next Week. Carried-over Rewards do not expire while the Referral Program runs.
Sanctions screening. Before each payment we check your wallet against sanctions lists. If the check cannot be completed, we do not pay until it can. If your wallet matches, or we have reason to believe you are a sanctioned person, we do not pay, and we may have to block the Rewards and report them to the authorities as the law requires.
Tax forms. Before a payment that would bring the total we pay you in a calendar year to USD 1,500 or more, and before the first payment to a Partner, you must give us a valid tax form: IRS Form W-9 if you are a U.S. person, or Form W-8BEN (individuals) or W-8BEN-E (entities) if you are not. Send it only through the private upload link our support gives you, never in the body of an email or in a public message. Until we receive it, your Rewards are kept and not paid. If U.S. law requires us to withhold tax, we pay the Reward net of that tax.
Payment status. The Referral page shows the status of each Week: Pending, Paid, Below minimum, Held for review, Tax form needed, Waiting for check, or Not payable.
Mistakes. If we pay you more than you earned, we may deduct the excess from your future Rewards. If we pay you less, we pay the difference with the next payment.
Transactions on a blockchain cannot be reversed. We are not responsible for a payment sent to the wallet that holds your code if you have lost access to it.

7. Who may join

You may join and earn Rewards only if:

you meet the requirements of section 3 of the Terms of Use (age, capacity), and you have accepted the current Terms of Use;
you are not resident in, and not located in, a Restricted Region, and you will not use the Referral Program from one;
you are not a sanctioned person, and you are not acting for one; and
taking part, sharing referral links for a crypto-asset service and receiving Rewards is lawful for you where you live and where you are (section 2).

By accepting these Referral Terms you confirm these points. If any of them stops being true, you must stop sharing your code, leave the Referral Program and tell us. Using a VPN, proxy, Tor or any other tool to hide that you are in a Restricted Region, in order to join or earn Rewards, breaks these Referral Terms.

Say that you earn from it. Whenever you share your code or link, you must clearly say that you earn a commission if people use it. Put the disclosure where people see it before they click: for example, "#ad" or "I earn a commission if you sign up with my link" at the start of the post, not hidden in a profile or behind "more". On X, also turn on the "Paid Partnership" disclosure. Follow the rules of every platform you post on.
Follow your local disclosure rules too. If the law where you are, or where the people you address are, requires a specific label, wording, risk warning or approval for this kind of post, you must add or obtain it as well. Meeting our rules does not mean you meet those rules; that is your responsibility.
Be truthful. Only describe Degenly as it is. You must not:
- promise or suggest profits, returns, or that anyone will make money by trading;
- say or suggest that trading, a token, or Degenly is free of risk, or that losses cannot happen;
- name, rate or praise a specific token together with your link, or tell people which token to buy or sell. The only exception is a Degenly result card for a position you have fully closed, shared without your own comments about that token;
- say that you work for Degenly or Kervan LLC, or speak for us;
- use our name, logo or the Degenly brand in account names, domain names, ads, or in any way that could make people think you are us;
- use words or images of gambling, betting or casinos;
- target your posts at people under 18, or at a Restricted Region;
- promote Degenly with your link in Turkish, or aim such posts at people in Türkiye (a disclosure label that the law requires is always allowed);
- buy ads, including search ads on "Degenly", without our written consent;
- send spam, unsolicited messages or mass messages, or post in places that do not allow it.
You are responsible for what you post. You must comply with every law that applies to your posts, including advertising, consumer and financial promotion laws.

8A. Your username

Your username can appear on your share cards and to anyone who opens your link.
You must not choose a username that is the name of another person, a company, a brand, a crypto project or a token, or that could make people think you are someone else or that you speak for them.
You can change your username once every 30 days. After a change, an older link that used your old username keeps working for 30 days and then stops. A username you stop using is never given to anyone else, except that we may give it to its rightful owner under the next point.
If someone shows us that a username uses their name or trademark, we may disable it at once and ask you to choose another. Older links that used the disabled username stop working immediately. Report a username to support (section 13).

9. Abuse and our right not to pay

You must not earn or try to earn Rewards by:

referring yourself, or wallets that you own or control, or that someone acting with you owns or controls;
creating or using wallets only to collect Rewards;
trading between wallets, or making swaps only to create Degenly Fees (wash trading);
giving referred people any payment, refund or other benefit to make them trade, other than the Referral Discount we give;
breaking section 7 or section 8; or
any other trick, fraud or misleading behaviour.

If we have reasonable grounds to believe that you did any of these: we may hold your Rewards while we review; cancel Rewards that were earned through, or in a Week affected by, the abuse; deduct from future Rewards any amount paid because of it; end the Referral Discount of a Referred Wallet that took part in the abuse; and remove you from the Referral Program. Our systems flag suspicious patterns automatically; a person at Kervan LLC decides before Rewards are cancelled or you are removed. You can ask us to review a decision by writing to support (section 13) within 30 days. We are not required to tell you how our checks work.

We may also hold or stop Rewards, or remove you, if a regulator, a court or a platform tells us, or we have reasonable grounds to believe, that your posts break the law or the platform's rules where they were made or seen.

Contest manipulation in an invite contest under section 3B, including self-referral, wash trading and coordinated circular trades, disqualifies you from that contest.

10. Changes, suspension and ending

We may change these Referral Terms, the rates or the minimum, or pause or end the Referral Program, at any time. We will show the change in Degenly at least 14 days before it applies, unless the law or a sanctions program requires a faster change. A change never reduces Rewards already earned for swaps made before it applies.
We may also pause or end the Referral Program, or stop offering it in a particular country, with immediate effect if the law, a regulator or a provider we rely on requires it. Rewards already earned are then paid under these Referral Terms.
If we end the Referral Program, we pay Rewards earned up to the end date that meet these Referral Terms, even if they are below the minimum of 0.1 SOL. The sanctions screening and tax form requirements of section 6 still apply.
You may leave the Referral Program at any time from the Referral page. Rewards earned before you leave are still paid under these Referral Terms.
We may remove you under section 9, or if you no longer meet section 7.

11. Taxes

You are responsible for your own taxes on Rewards, including reporting them as income where you live. We may report Rewards to tax authorities where the law requires it. We do not give tax advice.

12. Liability

Sections 13, 14 and 15 of the Terms of Use (disclaimers, limitation of liability, indemnity and disputes, including arbitration and the class action waiver) also apply to the Referral Program. You agree to indemnify Kervan LLC against any claim, fine, penalty or cost (including reasonable legal fees) that results from your posts, from your taking part in the Referral Program where it is not lawful for you, or from your breach of these Referral Terms.
